This will be held on April 8th after the Somerset TRF Exmoor riding day. Formal notices & meeting documents are available to download below.

Why are we having a GM and not an AGM?

The reason we are holding this General Meeting is to vote on the critical items required in order for the TRF to continue to function effectively and then follow up with the combined 2017 AGM and riding event.

What about the AGM?

The directors committed to hold the AGM in Wales and intend to do so. Weather forced the cancelation of the AGM originally scheduled for 4th March at late notice. Arrangements are being finalised to reconvene the AGM in Wales towards the end of May. This will also engage members at a venue that is more convenient for members based in the North than the Somerset venue.

What will the reconvened 2017 AGM cover?

This will combine the outstanding AGM items below and the rider activity.

This will be reconvened in Wales as before but on-site at the Wern Ddu quarry in May (precise details to be confirmed).

Why the GM business cannot wait until the end of May.

The directors appointments expire on the 8th April 2018. The primary business of the General Meeting is the matter of directors appointments and arrangements for length of service.

A TRF member has proposed an alternative Code of Conduct, the adoption of which will be considered as a special resolution.

The General Meeting business also includes the matters of subscription fees, bylaws, Vision, Aims and Objectives. The directors consider that it is in TRF’s best interests to secure members approval for those matters swiftly and wish to afford the membership the option to do so at the earliest opportunity.

  1. I’m confused…is the postponed AGM to take place at the time and date stated or at a date and place unknown in Wales.

    And is the alternative CoC proposed by a member the new CoC that was up for discussion at the postponed AGM or is there another one?

    • Hi Richard, the GM vs AGM difference is covered in detail within the post.
      The 8 Apr meeting will be a GM to deal with items that are judged to not be able to be deferred to the AGM, which will be held in Wales – date and place to be notified.
      The proposed CoC is included at Appendix 3. It is basically the same CoC from the postponed AGM but minus some wording regarding group sizes, that was previously in the advice given under Item 5 (headed ‘Ride quietly and unobtrusively’)

  5. General Meeting Proxy Voting clarification

    For those who cannot attend the new date and would like to vote by proxy and don’t know anyone who’s attending to appoint as a proxy.

    If you nominate your proxy as “Chairman of the Meeting” (no need for other details) and fill in the section of the form that directs the proxy to vote, that will be acceptable.

  8. Please can the directors confirm that the documents covering bylaws etc proposed to be adopted at the general meeting have not been changed from those produced for the original AGM. Many thanks
